The Assignor assigns to the Assignee:

1. the Patent Applications / Registrations;
2. the Assignor’s rights in the Patent Applications / Registrations, including:
• rights in the invention(s) described in the Patent Applications / Registrations;
• related rights to claim priority worldwide; and
• rights in licence agreements associated with the Patent Applications / Registrations; and
3. accrued rights to claim relief (including damages) from third parties in respect of any infringement of the Patent Applications / Registrations that may have occurred before the date of this assignment.

The Assignor hereby undertakes to sign all documents and to perform all acts that may be required to effect transfer of the Patent Applications / Registrations and related contractual rights (if any) to the Assignee.
