The Assignor hereby:

• assigns the Invention to the Assignee with the right to apply for patents (and other intellectual property registrations, if required by the Assignee) in respect of the Invention in all territories of the world in the name of the Assignee; and
• undertakes to sign all documents and to perform all acts that may be required to:
  • effect transfer of the Invention to the Assignee; and
  • assist the Assignee to file and prosecute patent applications in respect of the Invention worldwide.
